1. Agreement and eligibility
These Terms are an agreement between you and the US-based business operating AgentMarkit at agentmarkit.com. "AgentMarkit," "we," and "us" refer to that business and service.
By checking the Terms box, creating a machine, buying a plan, or using the service, you agree to these Terms and acknowledge the Privacy Policy. You must be at least 18 and legally able to enter an agreement. If you use AgentMarkit for an organization, you confirm that you have authority to bind it.
2. What we provide
AgentMarkit helps you set up and operate a Hermes agent on a hosted cloud machine. Depending on the order, we may provision the machine, install a starter and selected add-ons, connect a model you choose, provide starter updates, and troubleshoot the supported setup.
This is an early service. Features, integrations, starter contents, and upstream software may change. We may refuse or pause a setup that we cannot operate safely, reliably, or lawfully.
3. Orders, price, renewal, and cancellation
The checkout page or written order controls the price, billing interval, included support, trial terms, and renewal terms for a purchase. Unless checkout says otherwise, a hosted plan renews monthly until canceled. Applicable taxes may be added.
A one-month plan is a one-time purchase. It does not renew, and its month starts when its machine is created. If you later choose Keep it running, Stripe will show you a new recurring monthly order before anything changes. When a plan ends or lapses, the hosted machine is paused, kept for 30 days so you can download your files or resume it, and then deleted along with everything on it. Workshop contributions are voluntary one-time payments and are not refundable unless we say otherwise.
Model usage, storage beyond the included amount, and paid third-party accounts are separate unless the order expressly includes them. Those providers may bill you directly. Scheduled jobs can keep using a model or integration when you are not actively chatting, so you are responsible for budgets and limits on accounts you connect.
Recurring hosting starts when Stripe confirms the order and renews monthly until canceled. Deleting a machine from its setup page cancels that machine's recurring subscription at once, and nothing further is charged for it; if the cancellation cannot be confirmed with our payment provider, the machine is not deleted and you can try again or use the contact form. A one-month plan has no recurring subscription to cancel and does not renew. If its machine has not been created, the paid setup remains available on your account and its hosted month has not started. If a machine is removed at the hosting provider outside AgentMarkit, any recurring subscription is canceled at the next daily check and you are emailed. Unless the order or applicable law says otherwise, charges already paid are nonrefundable. If a supported starter cannot perform the published starting workflow, contact us promptly. We may repair it, extend the affected service, or refund the affected AgentMarkit charge.
4. Accounts and connected information
You are responsible for accurate account information, reasonable credential security, and activity under your account. Tell us promptly if you suspect unauthorized use.
You choose the model, files, accounts, integrations, and permissions connected to the agent. You must have the right to provide that information and authorize those actions. If your agent handles another person's information, you are responsible for appropriate notice, permission, and lawful use.
5. Agent permissions and actions
An agent may misunderstand an instruction, produce incorrect information, or take an unintended action. Use the least access needed. Require human approval before sending messages, moving money, filing forms, deleting information, publishing content, changing important records, or taking another consequential action.
You are responsible for actions you approve or configure the agent to take. AgentMarkit may add technical limits or pause an action to protect users, providers, or the service, but those controls are not a guarantee against mistakes.
6. Technical access and support consent
AgentMarkit and its hosting provider have privileged technical access to hosted machines for provisioning, updates, security, restarts, support, and deletion. A workspace is not end-to-end encrypted from us. We may technically be able to access its files, prompts, outputs, memory, configuration, credentials, and connected-service data.
That capability is not permission for AgentMarkit personnel to inspect private workspace material. We do so only after you request support and give separate, specific written permission. Before access, we will identify the machine, material, purpose, whether we need read-only or change access, and the expected duration. Accepting these Terms, connecting an integration, or asking a general support question is not support consent.
You may withdraw support permission before the work is complete. We may keep a record of the request, permission, operator, time, and changes. We may suspend, isolate, or restart a machine to protect the service without reviewing private content. We may access private content without advance consent when required by law or when reasonably necessary to address a serious security incident, and will limit that access to what is necessary.
7. Hermes can change itself
Hermes agents may edit instructions, skills, files, configuration, dependencies, or code when their tools and permissions allow it. Your prompts, model choice, installed software, provider changes, and agent-created modifications can change behavior or break a setup that previously worked.
AgentMarkit supports the published starter baseline and ordinary use described for it. Normal prompting does not automatically end support. We do not promise that every customized or self-modified state will remain compatible. Diagnosis may require a clean reproduction or a restore to a known checkpoint, with your permission.
A restore cannot undo an outside action such as a sent message, payment, filing, or disclosure to another service. We will not perform a destructive reset without confirming the exact machine and getting your approval.
8. Hosting and third-party services
Hosted machines currently rely on Agent37. Other parts of the service rely on Cloudflare, Stripe, Resend, Composio for optional connections, the model provider you choose, open-source projects, and any integrations you connect. Current providers and their functions are listed on the service providers and subprocessors page.
Outside services may change, fail, suspend an account, or apply their own terms and charges. AgentMarkit is responsible for its own service but cannot guarantee an outside service. You may need a separate account or agreement with a provider.
9. Your content, starter files, and portability
You keep ownership of content you provide. You give AgentMarkit a limited license to host, copy, transmit, modify, and otherwise process that content only as needed to provide, secure, and support the service or follow your instructions.
Open-source components remain governed by their published licenses. For AgentMarkit-authored starter files and custom configuration delivered to you, we grant you a perpetual, worldwide, non-exclusive, royalty-free license to use, copy, modify, and run those files for personal or internal business purposes, including on another host. The license survives the end of hosting. It does not permit you to sell or sublicense an AgentMarkit-branded starter as a standalone product unless a separate license allows it.
When a page says a starter is portable or "yours to take," it means you can export the files identified as portable and run them elsewhere under the applicable licenses. It does not include ownership of hosting infrastructure, third-party accounts, non-exportable vendor services, or another person's content. Until a package carries a named open-source license, portability does not mean that the entire package is open source.
10. Acceptable use
Do not use AgentMarkit to break the law, invade privacy, bypass security, send spam, impersonate or deceive people, distribute malware, exploit minors, infringe rights, interfere with the service, or use another person's account or data without permission. Do not use it to make a high-impact decision about another person without appropriate human review and a lawful basis.
We may suspend or limit access when reasonably necessary for security, abuse prevention, nonpayment, provider requirements, or law. When practical, we will explain the issue and give you a reasonable chance to correct it.
11. AI limits and professional decisions
Agent outputs can be wrong, incomplete, stale, or misleading. AgentMarkit is not a law firm, accounting firm, medical provider, investment adviser, or fiduciary. A starter may help organize information, but it does not replace a qualified professional. Verify financial records, filings, legal conclusions, research citations, and other important work before relying on them.
12. Suspension, ending service, export, and deletion
You may stop using the service and request cancellation or machine deletion. Export anything you want before deletion. Deleting a live machine is intended to become permanent after the hosting provider's recovery period. It cancels the machine's subscription (section 3) but does not revoke outside integrations, delete provider records, or undo actions the agent already took.
We may end a discontinued plan or the service with reasonable notice when practical. If we end a paid period for reasons other than your breach, we will provide a reasonable export opportunity and, where appropriate, a prorated refund or service credit. Sections that by their nature should survive will survive, including payment obligations, licenses already granted, warranty disclaimers, liability limits, and dispute terms.
13. Warranties and liability
We will provide the service with reasonable care. Except for promises expressly made in these Terms or an order, the service is provided "as is" and "as available." To the extent the law permits, we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement.
To the extent the law permits, AgentMarkit is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits or opportunities; loss of data that you could reasonably have backed up; or losses caused by an action you configured or approved. AgentMarkit's total liability arising from the affected service will not exceed the greater of $1,000 or the AgentMarkit fees you paid for that service during the 12 months before the event giving rise to the claim.
These limits do not apply where the law does not allow them or to liability that cannot legally be limited. Nothing in these Terms removes non-waivable consumer rights.
14. Changes, notices, and disputes
We may update these Terms as the service changes. We will post the new effective date and give reasonable notice of a material change. Updated terms apply prospectively unless law requires otherwise.
We may send service notices to the account email or post them in the service. If there is a dispute, use the contact form first so we can try to resolve it. Applicable law governs these Terms without removing mandatory rights you have where you live. These Terms do not require private arbitration or waive class-action rights.
If part of these Terms is unenforceable, the rest remains effective. A failure to enforce a term is not a waiver. You may not transfer your account or these Terms without our permission. We may transfer these Terms as part of a reorganization, financing, acquisition, or sale of the service.
